Terms of Service

Last updated: August 7, 2026. These terms explain website use, project inquiries, connected communication, connected services, and third-party workflows.

Who operates this website

Noiseless HQ is a public-facing service brand operated by VILLALOBOS ALLIANCE LLC, doing business as Noiseless where applicable.

References to Noiseless HQ, we, us, or our mean the business operating this website, client tools, connected workflows, and service integrations.

Use of website

You may use this website to learn about services, submit project inquiries, chat with Noiseless HQ, view interactive previews, communicate through connected channels, and access authorized portal features when available.

You agree not to misuse the website, interfere with security, attempt unauthorized access, submit unlawful content, impersonate another person, upload malware, scrape restricted areas, or use the website in a way that violates applicable law or third-party platform rules.

Eligibility and accounts

Client portal features, protected workspace areas, files, invoices, contracts, payments, and messages may require an authorized account.

You are responsible for keeping login credentials secure and for notifying us if you believe an account has been accessed without authorization.

Services

Service descriptions are informational. A project does not begin until both parties agree to a written proposal, scope, contract, statement of work, invoice, or other approved project agreement.

The written project agreement controls if it conflicts with general website language.

Project inquiries

Submitting a project inquiry, direct message, call request, or form response does not guarantee acceptance, availability, pricing, timelines, deliverables, or project approval.

Noiseless HQ may decline or request more information before accepting a project.

Messaging and connected communication

When you contact Noiseless HQ through the website, email, Facebook Messenger, Instagram, WhatsApp, or another connected channel, your communication may be routed into Noiseless HQ's workspace and reviewed by authorized staff.

Messages may be linked to project requests, client records, calendar follow-ups, support notes, and contract or payment workflows so the business can respond consistently.

Some message channels may use Mia, the Noiseless HQ assistant, to prepare or send AI-assisted replies. Human staff may review, pause, resume, correct, or take over replies. Message timing, reply windows, templates, delivery status, and availability may be limited by Meta, WhatsApp, Instagram, Messenger, carrier, or provider rules.

Do not send passwords, payment card numbers, government IDs, health information, or other highly sensitive information through social messages unless Noiseless HQ specifically provides a secure process for that purpose.

Connected services and third-party platforms

Noiseless HQ may operate workflows using third-party platforms such as Meta, Facebook, Instagram, WhatsApp, Google Calendar, Google Business Profile, Google Places, AI service providers, payment and signature providers, email providers, analytics providers, domain providers, hosting providers, secure data storage providers, and project management tools.

Those platforms have their own terms, permissions, limits, review processes, fees, outages, and data practices. Noiseless HQ is not responsible for failures, delays, restrictions, policy changes, or account decisions made by third-party platforms.

If you ask Noiseless HQ to connect an account, calendar, payment method, messaging account, or business asset, you confirm that you have the authority to grant that access and use the connected service for the requested business purpose.

AI-assisted features

Noiseless HQ may use AI-assisted tools, including OpenAI-powered workflows and Mia, to help authorized staff draft replies, answer common service questions, summarize context, classify requests, prepare service notes, or improve support workflows.

AI output may be incomplete, inaccurate, or inappropriate for a specific situation. AI-assisted content should be reviewed by a human before being relied on or sent externally.

AI-assisted features do not provide legal, tax, accounting, financial, medical, security, or compliance advice.

Interactive previews

Interactive previews, demos, dashboards, sample flows, and project examples help visitors understand possible features, workflows, and service directions.

Features, timelines, pricing, deliverables, integrations, approvals, API access, and results are confirmed only in a written project agreement.

Module subscriptions and billing

Connected-channel modules and the channels + calendar bundle are subscriptions with published prices, charged in advance through the client portal on a saved payment method. Applicable taxes are calculated and added at checkout.

Cancelling a subscription stops the renewal, not the service: the module stays active until the end of the period already paid for, and no partial or prorated refunds are issued for the remainder of a monthly or annual term.

Annual bundle subscriptions include a 14-day money-back guarantee: cancel within 14 days of the start of an annual term and the full annual price is refunded, with service ending at cancellation. After day 14 the standard rule above applies.

Cancelling any module that was purchased as part of a bundle cancels the whole bundle, because the bundle price only exists for the full set.

Moving up to a bundle, or from monthly to annual, while a module is already active does not require cancelling it first and does not charge twice for the same channel. The earlier subscription ends when the new one is paid, and the unused part of the period already paid for is credited to the account balance and applied automatically to the next invoice. This is account credit, not a refund: no money is returned to a card.

Bundle subscriptions may include additional modules at no charge for a given term, stated at checkout. Those modules are included for the length of that term and are not billed separately while it lasts.

If a renewal payment fails, service continues during the card-retry grace period. If payment is not recovered, module service pauses: Mia stops answering on the affected channels and automations stop sending. Incoming messages and leads continue to be received and stored, and become available again when the subscription is reactivated. Nothing is deleted because of non-payment.

Payment and signature workflows use third-party processors such as Stripe. Their services may require additional terms, identity checks, security controls, and records.

Project payments

Website, store, and app projects are separate from module subscriptions: they are quoted by scope, and pricing, payment schedule, deliverables, and signing requirements are defined in a written agreement before work begins.

Public booking pages and business chats

Noiseless HQ operates booking pages and website chats on behalf of the businesses that subscribe to those modules. When you book an appointment or send a message through a business's page, you are communicating with that business; Noiseless HQ processes the booking or message so the business can respond, schedule, and follow up.

Appointment details you submit — name, contact information, chosen time, and notes — are shared with that business and may create a calendar event on the business's own calendar.

Automated abuse protections, including request limits, apply to public pages.

Client materials

If you provide logos, text, images, files, data, credentials, business account access, social account access, payment information, or other materials, you confirm that you have the rights and authority needed for Noiseless HQ to use them for the requested business purpose.

You are responsible for the accuracy, legality, permissions, and completeness of materials you provide.

Intellectual property

Website content, brand elements, project previews, code, designs, copy, workflows, and materials are owned by Noiseless HQ, VILLALOBOS ALLIANCE LLC, or their respective licensors unless otherwise stated.

Ownership, licenses, source files, reuse rights, transfer terms, and third-party license restrictions for client work should be defined in each written agreement.

Privacy and data deletion

Use of the website and connected workflows is also governed by the Noiseless HQ Privacy Policy at https://noiselesshq.com/privacy.

No professional advice

Website content, AI-assisted drafts, workspace tools, workflow suggestions, and project previews are provided for general business and informational purposes.

They are not legal, tax, accounting, financial, medical, security, or compliance advice. You should consult qualified professionals for those matters.

No warranties

The website, interactive previews, integrations, workspace tools, and connected workflows are provided as is and as available.

To the fullest extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Limitation of liability

To the fullest extent permitted by law, Noiseless HQ and VILLALOBOS ALLIANCE LLC are not responsible for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of platform access, integration downtime, failed third-party approvals, or business interruption arising from use of the website, previews, integrations, or connected workflows.

Indemnification

You agree to be responsible for claims, losses, liabilities, damages, costs, or expenses arising from your misuse of the website, violation of these terms, violation of law, violation of third-party platform terms, or materials, credentials, data, or account access you provide for a project.

Governing law

These website terms are intended to be governed by the laws of the State of Texas, without regard to conflict-of-law rules, unless a written project agreement states otherwise.

Changes to these terms

We may update these terms as the website, services, tools, integrations, or legal requirements change.

The updated version will be posted on this page with a revised date.
